- You have legal capacity to enter into a binding agreement.
- If you use the service on behalf of a company or other organization, you have authority to bind that organization to these Terms.
- The information you provide to us is accurate and kept reasonably up to date.
3. Description of the Service
Opus Lingua provides AI-assisted translation tools and related features, including account management, project management, file upload, file analysis, glossary features, notifications, and credit-based access to translation functionality.
The platform is designed for translation workflows such as Microsoft Dynamics 365 Business Central files, XLIFF files, CRM translation packages, and other file types that we may support from time to time.
Some service outputs are generated with the help of third-party AI providers. The service may evolve over time and we may add, remove, suspend, or modify features where reasonably necessary.
4. Accounts
To use certain features, you must create an account. Registration may be available through email and password or through supported third-party sign-in providers such as Google or Microsoft.
You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity carried out through your account unless caused by our breach of duty.
- Notifying us promptly if you believe your account has been compromised.
We may suspend or restrict access to an account where reasonably necessary for security, fraud prevention, legal compliance, or material breach of these Terms.
5. Uploaded Content and Customer Responsibility
You retain responsibility for all files, text, data, prompts, glossary entries, and other materials you upload or submit through the service.
You represent and warrant that:
- You own the necessary rights to the content you submit, or you otherwise have lawful authority to use it.
- Your use of the service and your uploaded content do not infringe third-party rights or violate applicable law.
- If your uploaded files contain personal data, confidential information, or regulated material, you have a valid legal basis and any required notices, permissions, or agreements in place.
You grant us a limited, non-exclusive right to host, copy, transmit, analyze, process, and store your content only as necessary to operate, secure, maintain, and provide the service to you.
6. Credits, Pricing, and Payments
Certain paid features of the service operate through a credit system. The amount of credit required depends on the relevant service usage, such as translation volume or other measured units shown in the platform.
- Pricing displayed in the product at checkout forms part of the contract at the time of purchase.
- Payments are processed through third-party payment providers such as Stripe.
- We do not store full payment card details.
- Starter or promotional credits may be offered at our discretion and may be subject to separate conditions.
Unless otherwise stated at the point of purchase, taxes, including VAT where applicable, will be handled in accordance with applicable law and the checkout process.
7. Consumer Information for the EU and Spain
If you are a consumer resident in the European Union, including Spain, you may have mandatory rights under consumer protection law that cannot be limited by these Terms.
Where the service is supplied as digital content or a digital service, you may have statutory rights relating to conformity, remedies, and cancellation, subject to the conditions and exceptions provided by law.
If you are entitled to a right of withdrawal, that right may be lost or limited once digital service performance has begun with your express consent and acknowledgement, where permitted by law.
Questions regarding refunds, withdrawal, or statutory rights may be sent to support@opuslingua.com.
8. Acceptable Use
You must not:
- Use the service for unlawful, fraudulent, or abusive purposes.
- Upload malware, malicious code, or content intended to damage systems or data.
- Attempt to gain unauthorized access to the service, other user accounts, or connected systems.
- Interfere with the operation, security, or integrity of the service.
- Use automated scraping, extraction, or abusive automation without our prior written permission.
- Use the service in a way that infringes intellectual property, privacy, confidentiality, export control, or other legal rights.
- Resell or make the service available to third parties except where we expressly permit it.
We may investigate suspected misuse and take reasonable action, including suspension, removal of content, cancellation of credits linked to fraud, or reporting to relevant authorities where required.
9. Intellectual Property
As between you and Opus Lingua, you retain your rights in the content you upload and in the outputs generated from your content, subject to any third-party rights that may apply.
We retain all rights in the service itself, including the platform, branding, interfaces, code, design, documentation, and any related materials, except for rights expressly granted to you under these Terms.
Feedback you voluntarily provide may be used by us to improve the service without obligation to you.
10. AI Output and Service Limitations
Translation output may be generated or assisted by artificial intelligence. AI-generated output may contain inaccuracies, omissions, inconsistencies, or unsuitable wording.
- You are responsible for reviewing output before relying on it in production or customer-facing use.
- The service is not a substitute for professional legal, medical, financial, or safety-critical advice.
- We do not promise that output will be error-free, complete, or fit for every intended purpose.
Human review is strongly recommended for sensitive, regulated, contractual, medical, financial, or safety-critical content.
11. Privacy and Data Protection
Our processing of personal data is described in our Privacy Policy, which forms part of these Terms.
For uploaded files that contain personal data belonging to your customers, employees, or other third parties, you remain responsible for ensuring that you have an appropriate legal basis and any required contractual or transparency arrangements in place.
12. Availability, Maintenance, and Changes
We aim to keep the service available and secure, but we do not guarantee uninterrupted or error-free operation.
- We may carry out maintenance, updates, patches, or infrastructure changes.
- We may modify features, limits, supported formats, or technical requirements where reasonably necessary.
- We may suspend the service temporarily for operational, security, or legal reasons.
13. Suspension and Termination
You may stop using the service at any time and may request account deletion through the available account tools or by contacting support where needed.
We may suspend or terminate access, in whole or in part, where reasonably necessary if you materially breach these Terms, create a security risk, engage in fraud or abuse, fail to pay amounts due, or where continued provision of the service would be unlawful.
Provisions that by their nature should survive termination, including those relating to liability, intellectual property, payment disputes, governing law, and data protection context, will continue to apply.
14. Liability
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including mandatory consumer protection law, fraud, or liability for death or personal injury caused by negligence where the law does not allow exclusion.
To the maximum extent permitted by law, we are not liable for indirect or consequential loss, loss of profits, loss of business, loss of goodwill, or loss of data arising from your use of the service.
To the maximum extent permitted by law, our aggregate liability arising out of or in connection with the service will not exceed the total amount you paid to us for the relevant service during the 12 months preceding the event giving rise to the claim.
This section does not affect any non-waivable statutory rights you may have as a consumer under Spanish or EU law.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of Spain.
If you are acting as a business, the courts of Madrid, Spain shall have exclusive jurisdiction, unless mandatory law provides otherwise.
If you are a consumer resident in the European Union, mandatory consumer jurisdiction rules may allow you to bring claims in the courts of your place of residence and to rely on mandatory protections of that country.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may notify users through the website, by email, or through the service. Continued use of the service after the updated Terms take effect will mean acceptance of the revised Terms, unless mandatory law requires a different mechanism.
17. General Provisions
- If any provision is held invalid or unenforceable, the remaining provisions remain in force.
- Our failure to enforce a provision is not a waiver of that provision.
- You may not assign these Terms without our prior written consent, except where mandatory law provides otherwise.
- These Terms and the Privacy Policy form the agreement between you and us regarding the service.
